Job Details

Responsibilities
  • The Assistant General Counsel will assist the Chief Legal Officer ("CLO") in developing the Company's legal function in these areas and implement best practices
  • This position will report to the CLO and will interact directly with the business development team and senior management
  • Hands-on management of the legal processes required to vet, negotiate and close the Company's strategic transactions, including mergers and acquisitions, strategic partnerships, competitive cannabis license applications, and capital market transactions
  • Structuring transactions, including integration of tax and regulatory considerations
  • Assisting in the integration of acquired assets
  • Monitoring compliance with transaction documentation and assisting in the management of disputes arising from strategic transactions
  • Assisting the Chief Legal Officer and the business development team in improving deal processes and implementing best practices
  • Managing relationships with outside counsel and actively managing cost control
  • Helping to draft and review public disclosures regarding the Company's strategic transactions
  • Stay abreast of legal, regulatory, and institutional requirements as they apply to the medical and recreational marijuana industry

Qualifications
  • Strong ability to manage a range of legal projects and multi-task
  • Proven legal acumen and the ability to devise and implement bespoke solutions
  • Strong communication skills to work with staff, trustees, and other professionals
  • Superior writing, analytical, negotiating, and communication skills
  • Ability to handle confidential information and material with the highest degree of discretion and professional responsibility
  • Ability to work under pressure, handle multiple competing priorities and provide practical legal advice
  • J.D. degree from an accredited law school with superior academic credentials
  • 5-7 Years' experience:
  • 3+ years experience as a practicing lawyer, preferably initially with a prominent national law firm before moving to an in-house position
