Job Details

The Associate General Counsel (“AGC”) will work alongside the General Counsel (“GC”) on legal matters that arise the family of companies (the “Companies”)
  • Provide legal advice and counsel to the Companies
  • Draft, review, and edit legal documents, such as commercial contracts with owners, subcontractors, consultants, and outside counsel; legal notice letters such as collection letters and contracts-related notice letters; and dispute resolution related submissions
  • Assist in structuring legal transactions
  • Assist the GC in all risk management and compliance-related matters including due diligence and management of insurance-related matters
  • Assist the GC in dispute resolution proceedings as needed, including assisting in mediations, arbitrations, litigation, and enforcement actions such as collections matters
o Assists GC with dispute resolution preparation (informal dispute resolution, mediation, arbitration, and litigation,) including but not limited to document reviews, preparation of formal submissions, and coordination with outside counsel.
o Assists the GC in strategic decisions such as the negotiation of settlements
  • Assist the GC in the management of the IP portfolio, Secretary of State registrations, and other governance matters. Manage licensing and permitting database
  • Meet and collaborate with GC, internal clients, and other professionals to discuss assigned projects
  • Conducts legal research and analysis of statutes, regulations, caselaw, legal articles, judicial decisions, and other legal sources; provides written legal analysis to the GC. Utilize Westlaw software

Required Skills/Abilities:
  • Understanding of legal language and principles; research methods; transactional, contractual, and commercial legal concepts; formal dispute resolution related processes and submissions
  • Demonstrated ability to take the initiative, be a self-starter, and work independently
  • Demonstrated ability to function in a start-up like environment where not all of the processes and procedures are established
  • Excellent interpersonal and customer service skills
  • Strong analytical and problem-solving skills

Education and Experience:
· Juris Doctorate degree from an accredited law school
· License to practice law in the state of Indiana
· 3-7 years of legal experience post-law school, preferably including law firm experience and/or prior in-house counsel experience
· Broad general background in business and civil law required
· Real estate law, construction, and development experience preferred
