Job Details

Provide legal representation and advice in connection with the acquisition, development, financing, leasing, operation and disposition of commercial real estate projects throughout the US!

THIS IS A FULLY IN-OFFICE ROLE - must be okay with this!

RESPONSIBILITIES:
1. Drafting and negotiating the following:
  • Term sheets and letters of intent for leases and ground leases and real estate purchases and dispositions
  • Commercial and medical office space leases and ground leases
  • Purchase and sale agreements for the purchase and disposition of land and completed projects
  • Business entity organizational documents, including, but not limited to, operating agreements, partnership agreements and joint venture agreements
  • Loan documents for acquisition and construction financing of development projects and permanent financing for stabilized projects
  • Construction documents for construction projects, including contracts with general contractors, design professionals and consulting professionals
  • Development documents for development projects, including easements, association documents, covenants and brokerage agreements
  • Equity financing documents including subscription agreements, executive summaries and investor questionnaires
2. Coordinating and closing the purchase and sale of raw and improved real estate, including overseeing/assisting with title and other due diligence reviews
3. Coordinating and closing project financings (debt and equity) and re-financings, including overseeing/assisting with title and other due diligence reviews
4. Working with outside counsel engaged for special projects and local counsel
5. Assisting in structuring project ownership and equity structures and joint ventures
6. Assisting in legal aspects of property management of commercial real estate portfolio, including researching licensing issues in various states
7. Participating in continuing legal education programs for professional development; staying current with legal developments in the relevant practice area (real estate, commercial financing, corporate, medical)
8. Preparing and presenting in-house educational seminars
9. Providing general legal counsel and advice to all departments as needed
10. Assisting with management and supervision of paralegals

QUALIFICATIONS:
  • Good standing in a State bar within the U.S. (Florida or New Jersey preferred) with clean
disciplinary record;
  • 5-8 years of commercial real estate law practice;
  • Commitment to working in a collaborative, entrepreneurial team environment;
  • Ability to communicate effectively both verbally and in writing; basic understanding of the development of commercial real estate and, preferably, medical real estate, with experience in financing, leasing, purchase and sale, and construction;
  • Sound project management skills; negotiation experience; flexibility, etc
