We are seeking a highly skilled and experienced Corporate Attorney to join our dynamic legal team. This is a permanent position that offers a unique opportunity to work on a broad range of corporate matters and transactions. The successful candidate will provide legal advice and support to our business units and executives on a variety of legal matters, including corporate law, contracts, mergers and acquisitions, compliance, corporate governance, and risk management.
Responsibilities
1. Provide strategic legal advice and support to senior management on various corporate and commercial matters.
2. Draft, review, and negotiate a wide range of commercial contracts and agreements.
3. Conduct due diligence reviews in connection with potential business transactions and advise on potential risks and mitigation strategies.
4. Assist in the structuring, negotiation, and execution of corporate transactions, including mergers, acquisitions, joint ventures, and divestitures.
5. Provide legal advice on corporate governance matters and assist in the preparation of corporate governance documents.
6. Advise on compliance with applicable laws and regulations, including securities laws and corporate governance standards.
Qualifications
1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. Minimum of 5 years of experience as a corporate attorney, preferably in a law firm. Experience with securities law is preferred.
4. Demonstrated experience in conducting due diligence, drafting and negotiating contracts, and advising on corporate law and compliance matters.
5. Strong knowledge of corporate law, contracts, and compliance.
6. Excellent negotiation, communication, and interpersonal skills.
7. Ability to work independently and as part of a team.
8. Strong analytical and problem-solving skills.
9. Ability to manage multiple tasks and projects simultaneously in a fast-paced environment.
10. High level of professionalism and confidentiality.
