Job Details
General Summary:
Under general direction from the General Counsel or Deputy General Counsel, performs a wide range of complex legal services in representing the Company; provides advice and counsel to Company management and staff; conducts legal research and drafts legal documents; represents the Company in civil litigation; directs the work of assigned legal staff and consultants; and performs related duties as assigned.
Essential Duties and Responsibilities:
Under general direction from the General Counsel or Deputy General Counsel, performs a wide range of complex legal services in representing the Company; provides advice and counsel to Company management and staff; conducts legal research and drafts legal documents; represents the Company in civil litigation; directs the work of assigned legal staff and consultants; and performs related duties as assigned.
Essential Duties and Responsibilities:
- Have experience providing legal advice on SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, Section 16 filings equity plans, the Insider Trading Policy and 10b5-1 plans
- Have experience advising on corporate governance matters and assists in the preparation of Board and Committee materials, policies, and charters
- Have experience collaborating with internal teams on external communications such as earnings releases and press releases and advising on compliance with SEC and NYSE rules and regulations
- Desire to perform legal analysis and make recommendations on legal issues with respect to corporate governance, acquisitions and executive compensation matters
- Have a minimum of 3-5 years relevant experience, with significant law firm and/or in-house experience; public company familiarity preferred.
- Have some prior civil litigation and/or administrative law experience
- Hold a law degree from an ABA accredited law school and are licensed to practice law in the State of NV (or eligible for admission as in-house counsel).
- Have an entrepreneurial spirit, willing to embrace technological evolution and disruption. Get excited by working to benefit America’s small businesses (with the stability of a 100+ year-old company behind you).
- Draft documents and supporting documents related to acquisitions, sales and other transactions.
- Draft, review and maintain record of corporate governance documents and agreements, including NDAs
- Provide legal advice on SEC filings, including 10-Ks, 10-Qs, 8-Ks, proxy statements, S-8s, Section 16 filings equity plans, the Insider Trading Policy and 10b5-1 plans
- Advise on corporate governance matters and assists in the preparation of Board and Committee materials, policies, and charters.
