Job Details

Work closely with the Chief Legal Officer and Chief Financial Officer to advise on securities law and related general corporate law matters for a wide variety of transactions
Experience with with federal securities laws and Nasdaq rules and regulations, including preparation and filing of Forms 10-K, 10-Q, 8-K, proxy statements, and other SEC filings and reports
Take the lead on securities laws and SEC reporting and compliance matters, including earnings press releases, insider trading, 10b5-1 trading plans, periodic reports, Section 16 reporting, proxy statements and annual reports, disclosure advice, and investor relations, corporate finance, and communications support
Support the development, implementation, and maintenance of global compliance activities, including Regulation FD, insider trading, code of ethics, anti-bribery, anti-corruption, and other policies and regulations
Advise on corporate governance matters including support of the Board of Directors and its Committees, corporate governance policies and procedures, stock listing compliance and matters of interest to the company's stockholders
Support the annual stockholder meeting process
Work collaboratively and responsively with a broad range of colleagues across functions, ensuring good relationships between legal, finance, tax, People Operations, other business units and external law firms and vendors on various projects and initiatives to facilitate a coordinated team approach
Stay current on corporate governance trends and best practices and SEC and Nasdaq developments, including research and benchmarking projects
Provide support to the mergers and acquisitions team relating to securities and corporate law matters, including assisting with due diligence activities
Support debt financing transactions and matters, including debt offerings, credit facilities, and commercial paper, dividend and stock repurchase programs
Experience managing and delegating tasks to, and training of, support staff when necessary
