Job Details
Responsibilities:
1. Advise and represent clients in Mergers and Acquisitions (M&A) transactions.
2. Provide legal counsel on matters related to Private Equity and Venture Capital.
3. Assist clients in navigating the complexities of Capital Market transactions.
4. Draft and review legal documents such as 10-K, 10-Q, 8-K, Proxy Statements, and other securities filings.
5. Coordinate and manage debt and equity offerings, ensuring compliance with all legal and regulatory requirements.
6. Provide advice on Corporate Governance issues, assisting clients in achieving their strategic objectives while complying with legal and regulatory requirements.
7. Develop and maintain strong client relationships, providing exceptional client service.
8. Collaborate with other team members to ensure a comprehensive and coordinated approach to client service.
9. Stay abreast of developments in corporate finance law and contribute to the firm's knowledge management efforts.
Qualifications:
1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the Missouri bar.
3. A minimum of 5 years of experience as a Corporate Finance Attorney, with a focus on M&A, Private Equity, Venture Capital, and Capital Markets.
4. Proven experience as a Securities Attorney, Transactional Attorney, and M&A Attorney.
5. Expertise in securities law, including experience with 10-K, 10-Q, 8-K, Proxy Statements, and other securities filings.
6. Experience with debt and equity offerings.
7. Strong knowledge of Corporate Governance principles and practices.
8. Exceptional negotiation, communication, and interpersonal skills.
9. Ability to manage multiple projects and meet deadlines in a fast-paced environment.
10. Strong analytical and problem-solving abilities, with a keen attention to detail.
11. Commitment to maintaining the highest level of confidentiality and ethical standards.
