We are seeking a highly skilled and motivated Permanent Corporate Paralegal to join our dynamic team. As a Corporate Paralegal, you will play a crucial role in ensuring the smooth operation of our legal department and supporting our construction projects. Responsibilities:

1. Governance: Assist in ensuring compliance with corporate governance requirements by maintaining accurate and up-to-date records, including board minutes, resolutions, and other corporate documents.

2. Contract Database: Manage and maintain a comprehensive contract database, including drafting, reviewing, and organizing contracts related to construction projects. Ensure all contracts are properly executed, filed, and accessible to relevant stakeholders.

3. Contract Redlining: Collaborate with attorneys and project managers to review and redline contracts, ensuring compliance with legal requirements and mitigating risks. Track changes and communicate revisions to the relevant parties.

4. Filings: Prepare and file various legal documents, such as annual reports, incorporation documents, and other regulatory filings. Ensure all filings are accurate, timely, and compliant with applicable laws and regulations.

5. Legal Research: Conduct legal research on various topics, including construction laws, regulations, and industry best practices. Summarize findings and provide recommendations to attorneys and project managers.

6. Document Management: Organize and maintain legal documents, correspondence, and other relevant materials in both physical and digital formats. Develop and implement efficient document management systems to ensure easy retrieval and accessibility.

7. Due Diligence: Assist in conducting due diligence for potential business transactions, including mergers, acquisitions, and partnerships. Prepare reports and summaries of findings to support decision-making processes.

8. Coordination: Collaborate with internal teams, external counsel, and stakeholders to facilitate communication and ensure the timely completion of legal projects. Act as a liaison between different departments to gather necessary information and documentation.

Qualifications:

1. Experience: Minimum of 3 years of experience as a Corporate Paralegal, preferably in the construction industry or a related field.

2. Education: Bachelor's degree in Paralegal Studies, Legal Studies, or a related field. Paralegal certification is a plus.

3. Knowledge: Strong understanding of corporate governance principles, contract law, and legal procedures. Familiarity with construction laws and regulations is highly desirable.

4. Technical Skills: Proficient in using contract management software and database systems. Experience with redlining tools and legal research platforms is essential. Advanced knowledge of Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) is required.

5. Organizational Skills: Excellent organizational skills with the ability to manage multiple tasks and prioritize deadlines effectively. Attention to detail and accuracy are critical.

6. Communication: Strong written and verbal communication skills, including the ability to draft clear and concise legal documents and correspondences. Ability to collaborate and communicate effectively with diverse stakeholders.

7. Analytical Thinking: Strong analytical and problem-solving skills. Ability to identify legal risks, propose solutions, and make sound recommendations.

8. Adaptability: Ability to thrive in a fast-paced and dynamic environment. Willingness to learn and adapt to changing priorities and responsibilities.
