We are seeking a highly skilled and experienced Corporate Paralegal to join our dynamic Finance team. This is a permanent, full-time position offering a unique opportunity to apply your legal acumen in an exciting, fast-paced corporate environment. The successful candidate will provide vital support to our legal team, handling a variety of tasks related to corporate governance, UCC filings, entity formation, board minutes, contracts, and transactional matters. This role requires a minimum of 3 years of experience in a similar role.


  • Assist in all aspects of corporate governance, including the preparation of board materials, corporate resolutions, and meeting minutes.
  • Conduct comprehensive UCC searches and filings.
  • Facilitate the process of entity formation and maintenance, including the preparation and filing of necessary documents.
  • Draft, review, and revise a variety of contracts and legal documents.
  • Coordinate and assist with transactional matters, including the preparation of closing documents, due diligence, and post-closing follow-up.
  • Maintain corporate records and manage internal databases.
  • Liaise with various internal departments and external parties to ensure legal compliance and risk management.
  • Conduct legal research and provide administrative support to the legal team as needed.
  • Stock Plan administration


  • Minimum 3+ years of experience as a Corporate Paralegal, preferably within the Finance industry.
  • Bachelor’s degree in Law, Business Administration, or a related field, or equivalent work experience. Paralegal certification is a plus.
  • Proficient knowledge of corporate governance, UCC, entity formation, board minutes, contracts, and transactional matters.
  • Exceptional organizational skills with the ability to manage multiple tasks simultaneously and meet tight deadlines.
  • Strong written and verbal communication skills, with the ability to effectively communicate complex legal concepts.
  • Detail-oriented with a high degree of accuracy and confidentiality.
  • Proficient in Microsoft Office Suite and legal research databases.
  • A proactive problem-solver with the ability to work independently and as part of a team.
  • Demonstrated ability to handle sensitive matters with discretion and professionalism.
  • Adaptable and flexible, with a willingness to learn and take on new challenges.
  • Experience with Stock Plan Administration Required.
