General Statement of Duties:
Assist attorneys in all stages of corporate transactions and preparation of documents necessary to comply with federal, state and local regulations to support business activities. Researches, investigates and analyzes legal sources such as statutes, recorded judicial decisions, legal articles and websites, treaties, constitutions, and legal codes. Perform other clerical duties as well as prepare legal documents. Maintains case files by organizing and tracking all important documents.

Associate’s degree in Paralegal Studies, Legal Assistant, or related field; Baccalaureate degree preferred. Paralegal certification preferred. Three to five years related experience and/or training working in an organization providing paralegal services supporting corporate transactional work; ability to understand legal procedures and terminology. Have knowledge of Microsoft word, excel, and power point; document management systems; wed-based research tools. Ability to solve practical problems and deal with a variety of concrete variables in situations where only limited standardization exists.

Major Duties:
 Assist attorneys to prepare integral corporate documents/materials.
 Prepares legal documents such as contracts, initial and amended articles of incorporation, stock certificates and other securities, buy-sell agreements, closing papers and binders, deeds, trusts instruments, tax returns, estate plans, and other written reports for review and approval by assigned attorney for the case.
 Prepares all documents required to form corporations (both business and not-for-profit corporations), partnerships and limited liability companies in any state. Assist attorneys in the preparation of documentation for amendments, withdrawals, mergers and dissolutions of corporations, partnerships and / or limited liability companies.
 Drafting, filing and managing business entity documents including annual reports with state agencies.
 Work directly with attorneys and clients during closings and complex corporate transactions.
 Assist attorneys in the preparation for and closing of various corporate transactions, including mergers and acquisitions, due diligence and coordinating post-closing organizational matters.
 Prepare audit letters for distribution to auditors and clients. Gather litigation and billing information to prepare draft responses to auditor’s requests for information.
 Assist attorneys in the preparation and filing of UCC filings and handle UCC filing search requests in all states.
 Work with Attorney General’s Office regarding mergers and other transactions for non-profits.
 Work with Internal revenue service to complete 1023 applications for tax exempt status and the completion and filing of SS-4 Forms for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies.
 Work with regulatory authorities relating to operational and other concerns.
 File correspondence and legal documents in office filing system.
 Tracks and report hours billed.
