Responsibilities:
1. Corporate Governance:
- Assist in the preparation and maintenance of corporate governance documents, including board resolutions, certificates of incorporation, bylaws, and other corporate records.
- Coordinate and prepare materials for board meetings, including drafting agendas, compiling meeting materials, and taking accurate minutes.
- Support the legal team in ensuring compliance with corporate governance requirements and best practices.
2. SEC Filing:
- Collaborate with internal stakeholders to gather information and prepare accurate and timely SEC filings, including Form 10-K, 10-Q, and 8-K.
- Conduct thorough reviews of financial statements and disclosures to ensure compliance with SEC rules and regulations.
- Assist in the coordination of external audits and provide necessary documentation to auditors.
3. Contracts Drafting:
- Draft, review, and negotiate a wide range of contracts, including non-disclosure agreements, service agreements, licensing agreements, and vendor contracts.
- Work closely with internal teams to understand business objectives and provide legal advice on contract terms and negotiations.
- Maintain contract management systems and ensure proper documentation and organization of all contracts.
Qualifications:
- Bachelor's degree in Law, Paralegal Studies, or a related field.
- Minimum of 3 years of experience as a Corporate Paralegal in a technology or related industry.
- Strong knowledge of corporate governance principles and practices.
- Proven experience in preparing and filing SEC documents, including 10-K, 10-Q, and 8-K.
- Excellent drafting and reviewing skills with a keen attention to detail.
- Ability to work independently and manage multiple projects simultaneously.
- Strong organizational and time management skills.
- Proficient in using legal research tools and contract management systems.
- Excellent communication and interpersonal skills, with the ability to collaborate effectively with cross-functional teams.
- Demonstrated ability to maintain confidentiality and handle sensitive information with discretion.
