Job Details

We are seeking a highly skilled and motivated Permanent Corporate Paralegal to join our dynamic legal team in the fast-paced and ever-evolving technology industry. As a Corporate Paralegal, you will play a crucial role in supporting our legal department by assisting with various corporate governance matters, SEC filings, drafting contracts, and ensuring compliance with regulatory requirements. This is an exciting opportunity for a detail-oriented individual with a passion for technology and a strong background in corporate law.

Responsibilities:

1. Corporate Governance:
  • Assist in the preparation and maintenance of corporate governance documents, including board resolutions, certificates of incorporation, bylaws, and other corporate records.
  • Coordinate and prepare materials for board meetings, including drafting agendas, compiling meeting materials, and taking accurate minutes.
  • Support the legal team in ensuring compliance with corporate governance requirements and best practices.

2. SEC Filing:
  • Collaborate with internal stakeholders to gather information and prepare accurate and timely SEC filings, including Form 10-K, 10-Q, and 8-K.
  • Conduct thorough reviews of financial statements and disclosures to ensure compliance with SEC rules and regulations.
  • Assist in the coordination of external audits and provide necessary documentation to auditors.

3. Contracts Drafting:
  • Draft, review, and negotiate a wide range of contracts, including non-disclosure agreements, service agreements, licensing agreements, and vendor contracts.
  • Work closely with internal teams to understand business objectives and provide legal advice on contract terms and negotiations.
  • Maintain contract management systems and ensure proper documentation and organization of all contracts.

Qualifications:

  • Bachelor's degree in Law, Paralegal Studies, or a related field.
  • Minimum of 3 years of experience as a Corporate Paralegal in a technology or related industry.
  • Strong knowledge of corporate governance principles and practices.
  • Proven experience in preparing and filing SEC documents, including 10-K, 10-Q, and 8-K.
  • Excellent drafting and reviewing skills with a keen attention to detail.
  • Ability to work independently and manage multiple projects simultaneously.
  • Strong organizational and time management skills.
  • Proficient in using legal research tools and contract management systems.
  • Excellent communication and interpersonal skills, with the ability to collaborate effectively with cross-functional teams.
  • Demonstrated ability to maintain confidentiality and handle sensitive information with discretion.
