Are you a dynamic, detail-oriented paralegal with a knack for corporate law? Our construction firm is seeking a Permanent Corporate Paralegal to join our team. This is an excellent opportunity for an experienced paralegal to play a crucial role in our corporate legal department. You will work directly with our legal team, providing comprehensive paralegal support, including conducting legal research, drafting and reviewing documents, managing files, and maintaining corporate records. Your role will be integral to our operations, ensuring that we comply with all relevant laws and regulations while meeting our business objectives.

Responsibilities:

As a Permanent Corporate Paralegal, you will be responsible for a wide range of tasks including, but not limited to:

1. Assisting in the preparation and filing of corporate documents and reports.
2. Conducting title surveys and assisting with real estate transactions. Required
3. Managing and updating the corporate governance framework and ensuring compliance with all relevant laws and regulations.
4. Drafting and reviewing legal documents such as contracts, agreements, and corporate resolutions.
5. Preparing and maintaining minutes for board meetings.
6. Assisting with the formation and dissolution of corporate entities.
7. Conducting research on legal issues related to the construction industry.
8. Coordinating with external legal counsel as needed.
9. Managing UCC filings and searches.
10. Performing other administrative and paralegal duties as assigned.

Qualifications:

The ideal candidate for the Permanent Corporate Paralegal position must have the following qualifications:

1. A minimum of 3 years of experience as a paralegal, preferably in the construction industry or a related field.
2. A thorough understanding of corporate law, corporate governance, and real estate law.
3. Proficiency in conducting UCC searches and filings.
4. Experience in corporate entity formation and dissolution.
5. Excellent research and drafting skills.
6. The ability to manage and maintain corporate records.
7. Familiarity with preparing and maintaining board minutes.
8. Strong organizational skills, attention to detail, and the ability to handle multiple tasks simultaneously.
9. Excellent communication skills, both written and verbal.
10. Proficiency in using legal research software and Microsoft Office Suite.
