M&A Attorney

We are seeking a seasoned M&A Attorney with a strong background in private transactions and venture capital to join our dynamic legal team. This is a permanent position that will play a pivotal role in driving our business forward. The successful candidate will be responsible for managing all legal aspects of mergers and acquisitions, providing legal advice on complex business transactions, and ensuring compliance with relevant laws and regulations. This role requires a minimum of 5 years of experience in a similar position.

Responsibilities:

• Lead and manage all legal aspects of mergers, acquisitions, divestitures, joint ventures, and other strategic transactions.
• Draft, review, and negotiate a wide range of complex agreements related to M&A and other corporate transactions, including purchase agreements, merger agreements, shareholder agreements, and ancillary agreements.
• Provide legal advice on a broad array of issues arising in the context of mergers, acquisitions, and other strategic transactions.
• Collaborate with cross-functional teams, including finance, tax, HR, and operations, to ensure comprehensive due diligence.
• Advise on venture capital transactions, including early-stage financing and corporate governance matters.

Qualifications:

• Juris Doctor (JD) degree from an accredited law school.
• Admission to the state bar.
• A minimum of 5 years of experience as an M&A attorney, with a focus on private transactions and venture capital.
• Proven experience in managing complex M&A transactions, from initial negotiation to closing.
• In-depth knowledge of corporate law, securities law, and governance issues related to M&A and venture capital transactions.
