We are seeking a dynamic, dedicated, and diligent Private Equity Mid-Level Associate Attorney to join our esteemed legal team. This is an exciting opportunity to work in a fast-paced, intellectually stimulating environment within the private equity sector. The successful candidate will be responsible for providing legal advice and support on a wide range of private equity transactions, including mergers and acquisitions, leveraged buyouts, and growth equity investments.
Responsibilities:
1. Assist in the structuring, negotiation, and execution of private equity transactions, including mergers and acquisitions, leveraged buyouts, and growth equity investments.
2. Provide legal counsel to investment professionals and portfolio companies on a wide range of legal and regulatory matters.
3. Conduct due diligence reviews and prepare related reports.
4. Draft, review, and negotiate transaction documents, including purchase and sale agreements, shareholders' agreements, and other ancillary documents.
5. Ensure compliance with SEC regulations and other applicable laws and regulations.
6. Collaborate with other legal team members and external counsel to manage transaction execution and resolve legal issues.
7. Maintain current knowledge of developments and trends in private equity law and SEC regulations.
Requirements:
1. JD from an accredited law school.
2. State Bar License
3. A minimum of 3 years of experience in private equity transactions, preferably in a law firm setting.
4. Proficient knowledge of SEC regulations and private equity law.
