Job Details

Provide legal support on all transactional and occasional litigation matters, including construction loans, permanent loans, development of new projects, project leasing, equity financing, corporate formation, title insurance and tax bills, sale closings and maintenance, acquisition of projects, sale of existing projects and document production. This may also include reviewing amendments, leases, subleases or purchase assignments and assisting other departments with non-legal issues as necessary.

RESPONSIBILITIES:
  • Issue title commitments under agency agreements, satisfy title requirements, issue final title policies, and maintain title books.
  • Assist in drafting real estate documents, including, but not limited to, purchase and sale agreements; construction contracts; project documents (such as ground leases, space leases, easements, covenants and other ancillary agreements); and closing documents for the sale or purchase of real property.
  • Assist in drafting corporate documents, including, but not limited to, organizational documents for corporations, limited liability companies and various partnership structures (such as articles, operating agreements and partnership agreements); corporate consents and resolutions; and offering materials and subscription agreements
for conveyance of entity interests.
  • Assist in reviewing and processing financing documentation for construction and permanent loans, including, but not limited to, loan agreements, mortgages, guaranties, environmental indemnification agreements, tenant estoppels and SNDAs, etc.
  • Prepare documentation for internal loans.
  • Assemble due diligence materials in connection with the sale of property, conveyance of entity interests and financing and refinancing of projects.
  • Review due diligence materials for pending transactions, including title and survey matters.
  • Coordinate/assist in the coordination of real estate closings, loan closings and equity raise closings, including collecting and maintaining all executed documentation.
  • Review and process leasing documentation.
  • Prepare and file base tax forms.
  • Prepare closing binders and abstracts of key documents at the completion of each transaction.
  • Coordinate the formation, registration, maintenance (e.g. filing of annual reports), and/or withdrawal of entities in Florida other states and maintain corporate records and entity data sheets.
  • Assist with occasional litigation matters, including document production and maintaining a summary/status report of litigation matters being handled by outside counsel.
  • Assist various departments with legal and non-legal matters as needed.

QUALIFICATIONS:
  • Bachelor’s degree in business, paralegal studies or a related field. Related programs including a paralegal certificate with a concentration in real estate preferred.
  • 3+ years legal experience in real estate transactions, commercial preferred.
  • Must have experience reviewing title insurance, surveys and leases.
  • Strong computer skills and strong communication (both written and oral), client service and organizational skills.
