Job Details

We are seeking an experienced and motivated Director to join our M&A tax practice. This individual will play a key leadership role in managing complex transactions, advising clients on structuring and tax diligence issues, and mentoring a growing team. You will work directly with clients and firm leadership, bringing both technical expertise and a commercial mindset to the table.

Key Responsibilities:

  • Lead and manage tax due diligence for buy-side and sell-side transactions involving private equity firms and portfolio companies.
  • Advise on tax-efficient structuring of transactions, including blocker and flow-through planning, step-ups in basis, Section 754/743(b) issues, Section 1202/1244, and 338(h)(10)/336(e) elections.
  • Collaborate with investment teams and legal counsel on deal modeling and structuring considerations.
  • Identify and communicate key tax risks, exposures, and planning opportunities to clients in a clear, concise, and commercial manner.
  • Oversee preparation and review of detailed tax reports and client deliverables.
  • Mentor and develop junior team members, fostering technical development and client service excellence.
  • Support post-close initiatives such as purchase price allocation, legal entity integration, and tax attribute planning.
  • Maintain strong client relationships and actively participate in business development efforts.

Qualifications:

  • Bachelor’s degree in Accounting, Finance, or related field; CPA or JD required.
  • At least 8+ years of relevant tax experience, including significant exposure to M&A tax in a public accounting, law firm, or boutique advisory setting.
  • Deep knowledge of PE, partnership and corporate tax law, tax due diligence, and structuring.
  • Strong project management and leadership skills.
  • Excellent written and verbal communication abilities.
  • Entrepreneurial mindset and ability to thrive in a fast-paced, high-autonomy environment.
