Job Details
Job Summary:
- Assist, support, and serve as project manager for the proxy statement and annual meeting process.
- Develop proxy statement timeline and proxy statement backup materials
- Serve as principal liaison with various proxy service providers and as administrator of company access to DTC, Broadridge, transfer agent, ISS, and other portals
- Assist in the preparation of D&O Questionnaires and organization of responses and related data
- Track and review data for inclusion in proxy statement
- Handle the preparation of annual meeting script, oath and affirmation, and voting tabulation report
- Assist with preparation for and holding of annual meeting, whether in person or virtual
- Assist with preparation of 10-K, 10-Qs, 8-Ks, and other filings with the SEC
- Assist with preparation and filing of Section 16 reporting documentation
- Correspond with NASDAQ and transfer agent in connection with dividend declarations
- Participate in the planning, preparation, and distribution of materials for public company and subsidiary board and committee meetings
- Assist with various financial transactions, including debt issuances, loan sales, and securitizations
- Work closely with Corporate Secretarial function to obtain documents and certificates for closings
- Assist with closing process for transactions
- Assist with various corporate governance matters, including entity maintenance.
Job Qualifications:
- Bachelor’s degree at minimum, Paralegal Certificate preferred.
- 5+ years of relevant legal experience with significant corporate and financial services practice at a major law firm or company
- Strong experience with Proxy Statements and SEC reporting
- Excellent communication and organizational skills as well as strong attention to detail
- Proficient in Microsoft Office suite. Adobe, SharePoint, and Board Portal/Diligent experience a plus
