Our highly reputable law firm is seeking an experienced and dynamic Transactional M&A Associate to join our team. This role offers the opportunity to work on high-profile, complex transactions with significant client interaction. The successful candidate will be part of a team providing comprehensive advice on a wide range of M&A transactions, including public and private acquisitions, disposals, demergers, joint ventures, and public takeovers. The role demands a highly skilled individual with a strong background in corporate law, corporate governance, and financial institutions.
Responsibilities:
1. Draft, review, and negotiate a wide range of complex transaction documents, including merger agreements, stock purchase agreements, asset purchase agreements, and ancillary documents.
2. Provide clear, concise, and practical legal advice on potential M&A transactions, including structuring advice, due diligence findings, and negotiation strategies.
3. Coordinate and manage due diligence processes, working closely with clients and other advisors.
4. Participate in business development activities, including preparing and presenting pitches and proposals to potential clients.
5. Keep up-to-date with the latest legal and regulatory developments affecting M&A transactions and advise clients accordingly.
6. Work collaboratively with other team members, sharing knowledge and best practices.
7. Provide training and mentorship to junior team members.
Qualifications:
1. A Juris Doctorate from an accredited law school.
2. Admission to the state bar.
3. A minimum of 5 years of post-qualification experience in M&A transactions, preferably gained within a large law firm or corporate legal department.
4. Extensive experience in drafting and negotiating complex transaction documents.
5. In-depth knowledge of corporate law and corporate governance principles and practices.
6. Familiarity with the legal and regulatory landscape affecting financial institutions.
7. Excellent analytical, negotiation, and communication skills.
8. Ability to handle multiple transactions and projects simultaneously, while maintaining attention to detail.
