We are seeking a dynamic, highly skilled, and self-motivated Assistant General Counsel to join our thriving technology company. This role will be pivotal in providing legal advice on a wide range of issues related to technology and its applications, while also ensuring the company's compliance with all relevant laws, regulations, and policies. The successful candidate will be responsible for negotiating agreements, evaluating fees, understanding current market best practices, and navigating complex distribution structures.

Responsibilities:

  • Provide legal counsel and guidance to the management on all aspects of the business, ensuring compliance with the laws and regulations of the jurisdictions in which the company operates.
  • Negotiate, draft, and review a wide range of complex agreements (including but not limited to limited partnership agreements, limited liability company agreements, trust documents, articles of association, private placement memoranda, subscription agreements, investment advisory agreements, prime brokerage, margin, custody, and administration agreements).
  • Handle regulatory filings, stock exchange filings, distribution plans, distribution agreements, proxy materials, advertising materials, and other legal documents.
  • Advise on fund jurisdiction, fund structuring, offshore funds, and domestic funds.
  • Develop and implement legal strategies and policies to ensure the company's legal protection.
  • Coordinate with external legal counsel as required.
  • Stay current on industry legislation, regulations, and enforcement trends affecting the company and its operations, and advise management accordingly.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admitted to practice law in the state.
  • Minimum of 3 years of experience in a law firm or corporate legal department, preferably in the technology industry.
  • Strong knowledge of laws and regulations related to technology, and the ability to quickly understand new laws and regulations.
  • Proven experience in negotiating and drafting complex agreements.
  • Familiarity with distribution structures, organizational documents, limited partnership agreements, limited liability company agreements, trust documents, articles of association, private placement memoranda, subscription agreements, investment advisory agreements, prime brokerage, margin, custody and administration agreements, regulatory filings, stock exchange filings, distribution plans, distribution agreements, proxy materials, advertising materials, fund jurisdiction, fund structuring, offshore funds, domestic funds.
  • Excellent interpersonal, negotiation, and conflict resolution skills.
  • Ability to work independently and as part of a team.
  • Strong analytical, problem-solving, and decision-making capabilities.
  • Proficient in Microsoft Office Suite or related software.
  • Excellent written and verbal communication skills.
