Job Details
We are seeking a lateral M&A Associate to join our team, focusing on middle-market transactions and general corporate matters for privately held businesses across a range of industries.
Job Responsibilities:
* Draft and negotiate purchase agreements, operating agreements, and ancillary transaction documents
* Conduct and manage legal due diligence and coordinate with clients and third parties
* Advise on deal structure, risk allocation, and closing mechanics
* Provide day-to-day counsel on corporate governance, entity formation, and commercial contracts
* Support senior attorneys in managing timelines and ensuring successful deal execution
* Communicate directly with clients, advisors, and opposing counsel
Qualifications:
* J.D. and licensed to practice in Illinois
* 3–10 years of M&A and corporate experience, preferably in a law firm setting
* Familiarity with private company transactions, diligence processes, and contract drafting
* Strong organizational skills and attention to detail under transaction-driven timelines
* Excellent communication and client service orientation
* Comfortable meeting a 1800-hour annual billable requirement with one remote workday per week
