You will play a pivotal role in handling complex corporate transactions, mergers and acquisitions (M&A), securities law, and private equity. This role offers an opportunity to work with a diverse clientele, including real estate developers, contractors, nonprofit organizations, venture capital organizations, broadcasting and publishing companies. As a member of our team, you will provide expert legal advice, negotiate and draft contracts, and ensure all corporate operations comply with state and federal law.

Responsibilities:
Qualifications:
- Provide legal advice on a broad range of corporate matters such as corporate transactions, M&A, securities, and private equity.
- Draft, review, and negotiate complex commercial agreements with our clients and partners, including real estate developers, contractors, nonprofit organizations, venture capital organizations, broadcasting and publishing companies.
- Participate in the formation, dissolution, and governance of corporate entities.
- Advise clients on the legal aspects of business organization and corporate governance.
- Represent clients in corporate venture capital deals and other business transactions.
- Ensure compliance with all local, state, and federal laws and regulations.
- Keep abreast of all changes in corporate law and adapt strategies as necessary.
- Collaborate with a team of attorneys and paralegals to develop case strategies and prepare for trials.
Qualifications:
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Must be barred in Arizona with a clean record.
- Minimum of 5+ years of experience in corporate law, with a focus on M&A, corporate transactions, securities law, and private equity.
- Proven experience in entity formation, business organization, and dealing with corporate governance matters.
- Excellent ability to draft and negotiate complex legal documents.
- Proficient in advising clients from various industries such as real estate development, contracting, nonprofit, venture capital, broadcasting, and publishing.
- Strong understanding of corporate venture capital and experience in dealing with such transactions.
- Exceptional communication, negotiation, and interpersonal skills.
- Excellent analytical and problem-solving abilities.
- Ability to manage multiple projects and meet deadlines in a fast-paced environment.
- High level of professionalism and confidentiality.
- Proficiency in legal research software and Microsoft Office Suite.
