As a Permanent Associate Attorney - Transactional, you will play a pivotal role in our dynamic legal team. You will be responsible for providing comprehensive legal counsel and guidance on a variety of transactional matters, including mergers and acquisitions, joint ventures, private equity, and corporate governance. This role requires an individual with a strong understanding of IP and corporate transactional law, with a focus on public companies and investors.

Responsibilities:
  • Provide legal advice on a wide range of transactional matters, including mergers and acquisitions, joint ventures, private equity investments, and corporate governance.
  • Draft, review, and negotiate complex legal documents and agreements.
  • Conduct thorough legal research to support decision-making and provide strategic legal advice.
  • Liaise with external counsel, clients, and other stakeholders to ensure smooth transaction execution.
  • Ensure compliance with all applicable laws, regulations, and industry standards.
  • Identify and mitigate potential legal risks and develop preventive measures.
  • Participate in the development of corporate policies, procedures, and programs.
  • Provide training to the company and its subsidiaries on transactional law matters.

Qualifications:
  • Juris Doctorate (JD) from an accredited law school is required.
  • Must be a member in good standing with a state bar.
  • A minimum of 5 years of experience in a law firm or corporate legal department, with a focus on transactional law.
  • Demonstrated experience with public companies, investors, mergers and acquisitions, joint ventures, and corporate governance.
  • Strong knowledge of IP law.
  • Excellent negotiation, communication, and drafting skills.
  • Ability to work independently and as part of a team.
  • Strong analytical and problem-solving skills.
  • High degree of professional ethics and integrity.
  • Ability to handle multiple tasks simultaneously, set priorities, and adapt to change.
  • Proficient in legal research tools and Microsoft Office Suite.
  • Ability to maintain confidentiality and exercise extreme discretion.
  • Excellent problem-solving, negotiation, and organizational skills.
  • Strong attention to detail and the ability to prioritize tasks to meet deadlines.
  • Strong interpersonal skills and the ability to work effectively with a wide range of individuals in a diverse community.
