We are seeking a highly motivated and experienced Permanent Associate Attorney - Tax to join our dynamic legal team. This role offers an exciting opportunity to work in a fast-paced, high-stakes environment with a diverse group of professionals. You will be responsible for providing strategic tax advice related to corporate transactions, mergers and acquisitions, joint ventures, financing transactions, and investment funds.

Responsibilities:

As a Permanent Associate Attorney - Tax, your responsibilities will include, but are not limited to:

1. Providing comprehensive tax advice on complex transactions, including mergers and acquisitions, joint ventures, private capital, and financing transactions.
2. Reviewing and drafting tax-related documents and agreements in connection with corporate transactions.
3. Advising clients on the tax implications of partnerships and pass-through entities.
4. Participating in the structuring and formation of investment funds.
5. Collaborating with the broader legal team to develop and implement tax-efficient structures.
6. Staying abreast of changes in tax laws and regulations that may affect the company and its clients.
7. Assisting in the resolution of tax controversies and disputes.

Qualifications:

To be considered for this role, you must possess the following qualifications:

1. Juris Doctorate (JD) from an accredited law school.
2. Advanced degree in Taxation (LLM) is strongly preferred.
3. A minimum of five years of experience in corporate law, with a focus on transactional tax matters.
4. Significant experience with corporate transactions, mergers and acquisitions, joint ventures, financing transactions, and partnerships.
5. Proven track record of working with private capital and investment funds.
6. In-depth knowledge of pass-through entities and tax implications.
7. Exceptional analytical, negotiation, and communication skills.
8. Strong organizational skills, with the ability to manage multiple projects and meet deadlines.
9. Admission to the state bar.
10. Ability to work both independently and as part of a team.
