Job Details

Responsibilities:

As an Emerging Companies & Venture Capital Associate Attorney, your responsibilities will include:

1. Providing strategic legal advice to emerging companies and venture capital firms, guiding them through various stages of their lifecycle from seed funding to exit transactions.
2. Managing all aspects of private financing transactions, including Series A and Series B financings.
3. Overseeing complex M&A transactions and ensuring all legal requirements are met.
4. Drafting, reviewing, and negotiating a wide range of legal documents, including term sheets, shareholder agreements, and acquisition agreements.
5. Collaborating with other members of the legal team to provide comprehensive legal solutions to clients.
6. Staying up-to-date with changes in laws and regulations that may affect emerging companies and venture capital firms.
7. Working closely with clients to understand their business objectives and providing tailored legal advice to help them achieve their goals.

Qualifications:

To be considered for the Emerging Companies & Venture Capital Associate Attorney role, you should possess the following qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the California Bar.
3. A minimum of 5 years of experience as an attorney in a law firm or as in-house counsel, with a focus on emerging companies and venture capital.
4. Proven experience in handling private financing transactions, including seed funding, Series A, and Series B financings.
5. Extensive knowledge of M&A transactions, including drafting and negotiating acquisition agreements.
6. Familiarity with the legal challenges faced by start-ups and the ability to provide strategic legal advice to help them navigate these challenges.
7. Excellent negotiation and communication skills.
8. Ability to work effectively in a fast-paced environment and manage multiple projects simultaneously.
9. Strong analytical skills and attention to detail.
10. Prior experience in a BigLaw or AmLaw firm is preferred.
