A bit about us:

We are seeking a highly motivated, detail-oriented Capital Markets & Public Company Attorney to join our dynamic legal team. This is a permanent position that will provide an opportunity to work on a wide array of complex and challenging matters in the capital markets and public companies arena. The ideal candidate will be responsible for providing legal advice and guidance on a variety of matters related to corporate governance, debt and equity transactions, and foreclosure. This role requires a deep understanding of the legal and regulatory framework governing capital markets and public companies.

Responsibilities:

1. Provide legal advice and support on a broad range of capital market transactions including debt and equity offerings, securitizations, and other structured finance transactions.
2. Advise on corporate governance matters, including board and committee matters, corporate policies, corporate reporting, and disclosure requirements.
3. Draft and negotiate a variety of transactional documents including underwriting agreements, purchase agreements, indentures, intercreditor agreements, and other related documents.
4. Represent the company in foreclosure proceedings, including negotiating resolutions and settlements, and ensuring compliance with all relevant laws and regulations.
5. Monitor and analyze regulatory developments in capital markets and public company law, and advise on potential impacts to the company.
6. Collaborate with internal teams, including finance, tax, and risk management, to ensure alignment with company objectives and compliance with applicable laws and regulations.
7. Provide training and guidance to junior attorneys and other team members on capital markets and public company law.

Job Details

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school is required.
2. Must be a member in good standing with a State Bar.
3. A minimum of 7 years of experience as an attorney in capital markets and public company law, preferably with a law firm or in-house at a financial institution or public company.
4. Demonstrated experience in corporate governance, debt and equity transactions, and foreclosure.
5. Strong knowledge of SEC regulations and reporting requirements for public companies.
6. Excellent negotiation, drafting, and analytical skills, with strong attention to detail.
7. Ability to manage multiple projects simultaneously and work effectively in a fast-paced, deadline-driven environment.
8. Strong interpersonal skills, with the ability to work independently and as part of a team.
9. High degree of professional ethics and integrity.
10. Excellent written and verbal communication skills.
