We are seeking a dynamic and highly motivated Permanent Corporate and Transactional Associate Attorney to join our vibrant team. The successful candidate will play a crucial role in managing a broad range of corporate and transactional matters. This includes mergers and acquisitions, securities, corporate governance, and regulatory compliance. Responsibilities:
As a Permanent Corporate and Transactional Associate Attorney, you will be expected to:

1. Provide legal advice and support on a wide range of corporate and transactional matters.
2. Draft, review, and negotiate complex commercial contracts and agreements.
3. Manage all aspects of mergers and acquisitions, including due diligence, negotiation, and closing processes.
4. Advise on securities law matters, including SEC filings and compliance.
5. Assist with corporate governance issues and corporate secretarial duties.
6. Ensure regulatory compliance in all corporate transactions and advise on potential risks.
7. Participate in the development of company policies and procedures.
8. Collaborate with other departments to manage legal risk and ensure business objectives are met.
9. Stay updated with changes in the legal landscape and provide proactive advice to the company.

Qualifications:
The ideal candidate for the Permanent Corporate and Transactional Associate Attorney position should have:

1. Juris Doctorate (JD) degree from an accredited law school.
2. Admission to the California State Bar.
3. A minimum of 5 years of experience in corporate and transactional law.
4. Proven experience in mergers and acquisitions, securities, corporate governance, and regulatory compliance.
5. Excellent negotiation skills with a keen attention to detail.
6. Strong interpersonal skills with the ability to communicate complex legal concepts clearly and effectively.
7. High level of professionalism and confidentiality.
8. Ability to work independently and as part of a team.
9. Strong analytical and problem-solving skills.
10. Proficiency in legal research tools and software.
