Job Details
We are seeking a skilled and motivated Corporate Associate Attorney to join a dynamic legal team. This role offers the opportunity to work on a wide range of corporate matters in a fast-paced, client-focused environment.
Key Responsibilities
Handle corporate legal matters with 3+ years of experience
Draft, review, and negotiate various commercial contracts, including:
Equity and asset purchase agreements
Shareholder, partnership, and operating agreements
Loan, license, financing, service, and non-disclosure agreements
Restrictive covenant agreements
Conduct legal research and provide timely, budget-conscious analysis
Support due diligence efforts for mergers, acquisitions, and dispositions
Manage a high volume of client work with efficiency and professionalism
Advise clients on contract terms and legal implications of business transactions
Develop strategies to mitigate risk and prevent legal issues
Qualifications
J.D. and Bachelor's degree required
Active attorney license in applicable state
Strong written and verbal communication skills
Familiarity with state and federal court procedures and filing systems
Ability to organize complex legal data into clear arguments
Discretion and confidentiality in handling sensitive matters
Excellent time management and organizational skills
Professional judgment and initiative
