We are seeking a talented and driven Corporate Associate to join our dynamic team. This position offers the opportunity to engage in sophisticated corporate legal work, with a primary focus on mergers and acquisitions (M&A), venture capital transactions, and other complex corporate matters.
Position Overview
As a Corporate Associate, you will collaborate with a team of experienced attorneys to advise clients on high-profile corporate transactions and provide strategic counsel on a variety of business matters. Your responsibilities will include:
Mergers and Acquisitions (M&A): Drafting, negotiating, and advising on complex M&A transaction documents for clients across various industries.
Venture Capital Transactions: Supporting startups, investors, and established companies in venture capital deals, including term sheets, investment agreements, and equity structuring.
Corporate Transactions: Handling intricate corporate deals, such as joint ventures, spin-offs, and recapitalizations.
Securities Law Compliance: Advising on securities regulations, including private placements, public disclosures, and compliance requirements.
Corporate Governance: Providing guidance on governance matters, including board responsibilities, shareholder agreements, and regulatory compliance.
Qualifications
We are seeking candidates who meet the following criteria:
Experience: Three to Eight years of corporate law experience at a leading law firm, focusing on M&A, venture capital, or other high-level corporate transactions.
Skills: Strong drafting and negotiation abilities, with a keen attention to detail and the ability to manage multiple priorities effectively.
Knowledge: Familiarity with securities law compliance and corporate governance is highly desirable.
Credentials: Outstanding academic achievements and a demonstrated commitment to excellence in client service.
