Job Details
Qualifications and Experience:
We’re seeking an attorney with 6–8 years of corporate transactional law experience, with a strong foundation in the following areas:
Core Transactional Experience:
Proven ability to draft clear and effective transaction agreements, negotiate deal terms, manage closing processes, and conduct in-depth legal and factual analysis.
Extensive M&A experience, particularly within the technology and venture capital sectors.
Familiarity with convertible debt, preferred equity financings, and other venture financing instruments.
Deep knowledge of National Venture Capital Association (NVCA) model documents.
Broader Corporate Practice:
Experience preparing a wide range of corporate documents, including purchase and sale agreements, service-level contracts, disclosure schedules, and operating agreements.
Competence in drafting and reviewing loan agreements, security agreements, and other financing-related documents.
Understanding of issues critical to IP-centric businesses, including:
IP ownership and development
Licensing agreements
Employee and tax considerations
Skills and Attributes:
Strong analytical, interpersonal, and communication skills.
Team-oriented, yet comfortable taking ownership of matters and working directly with clients.
Ability to act as a trusted advisor, guiding clients through a wide range of legal and business challenges at every stage of their company’s lifecycle.
