Corporate Associate Attorney

Responsibilities

• Review, draft, and negotiate commercial contracts, including equity and asset purchase agreements, shareholder, partnership and operating agreements, loan agreements, license agreements, financing agreements, service agreements, non-disclosure agreements and restrictive covenant agreements.
• Research legal issues relating to a wide variety of business transactional issues and provide analysis within the client’s budget and time constraints.
• Assist in due diligence for mergers, acquisitions, and dispositions.
• Manage high client volume and workload responsibility.
• Provide advice to clients regarding contract terms and legal implications of business operations and transactions.
• Assist in the development of strategies to manage risk exposure and prevent legal problems from occurring.

Qualifications

• 3-8 years of corporate experience
• JD from an accredited law school
• Licensed to practice in South Carolina
• Strong record of academic achievement
• Proven research and writing skills
• Strong oral and written communication skills
