- Handle a wide range of corporate transactions, including mergers, acquisitions, dispositions, joint ventures, and reorganizations
- Draft and negotiate transaction documents such as purchase agreements, operating agreements, shareholder agreements, and ancillary deal documents
- Advise clients on day-to-day corporate governance and general business matters
- Support due diligence efforts and manage deal execution processes
- Collaborate closely with colleagues across practice areas to deliver comprehensive client solutions
- Maintain strong relationships with clients and participate in business development efforts as appropriate
Qualifications:
- 1 to 7 years of relevant corporate transactional experience, preferably in a law firm setting
- Demonstrated experience with M&A transactions and general corporate work
- Excellent drafting, analytical, and negotiation skills
- Strong academic credentials and a solid professional track record
- Admitted to practice and in good standing in the State of New York
