The successful candidate will serve as a strategic advisor on all legal and compliance issues, including mergers, acquisitions, divestitures, debt offerings, equity offerings, and restructurings. This is a full-time permanent position with significant responsibility and autonomy, requiring a detail-oriented professional with a robust work ethic and the ability to lead teams effectively.

Job Details
Responsibilities:
1. Provide expert legal advice on a wide range of corporate matters, including entity formation, corporate governance, and regulatory compliance.
2. Draft, review, and negotiate complex commercial contracts, ensuring they meet the company's standards and business objectives.
3. Lead and manage all aspects of mergers, acquisitions, divestitures, debt offerings, equity offerings, and restructurings.
4. Collaborate with management to devise efficient defense strategies in case of legal disputes.
5. Advise on legal issues and risks, complex deal structures, approval processes, company policies and procedures, and negotiation strategy.
6. Interact with clients on a regular basis, providing exceptional client service and maintaining strong client relationships.
7. Participate in business development training and initiatives to drive the firm's growth.
8. Lead teams effectively, fostering a collegial environment that promotes teamwork and collaboration.
Qualifications:
1. A Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 8+ years of experience in corporate law, with a focus on mergers and acquisitions, divestitures, debt offerings, equity offerings, and restructurings.
4. Proven experience in drafting and negotiating commercial contracts.
5. Exceptional client service skills, with a proven track record of positive client interactions.
6. Strong legal writing and research skills.
7. Ability to handle large volumes of complex work, demonstrating a flexible and adaptable approach to work.
8. Proficiency in providing legal assistance, managing legal documents, and addressing legal issues.
9. Demonstrated ability to lead teams and manage significant responsibilities.
10. Detail-oriented with a strong work ethic.
11. Experience in business development training and working in a collegial environment.
12. Knowledge of legal compliance and corporate governance.
