Job Details

We are seeking a Corporate Associate to join a sophisticated corporate and securities practice with a strong focus on public company representation and SEC reporting.

The ideal candidate will have significant experience advising public companies on ongoing securities compliance matters, with additional exposure to capital markets transactions, M&A, and general corporate governance.

Responsibilities
Advise public companies on SEC reporting and disclosure obligations, including periodic filings and compliance matters
Assist with capital markets transactions, including equity and debt offerings and related securities documentation
Support mergers and acquisitions and other strategic corporate transactions
Draft and review SEC filings, registration statements, and governance materials
Provide day-to-day corporate counseling to public company clients, including boards and management teams
Coordinate with investment banks, auditors, and other advisors on transaction and reporting matters
Advise on corporate governance, compliance frameworks, and securities law issues

Qualifications
4–6 years of corporate and securities experience at a law firm
Significant experience with SEC reporting and public company representation required
Exposure to capital markets transactions and/or M&A preferred
Strong drafting, analytical, and client communication skills
Excellent academic credentials required
Active bar admission in the jurisdiction of the office
