Job Details

We are seeking a dynamic, experienced Corporate Attorney to join our Legal team. This is a permanent, full-time position that offers an exciting opportunity to work on a wide variety of corporate matters. The successful candidate will be involved in advising on acquisitions, corporate finance, accounting, tax, securities, estate planning, and real estate matters. This role requires a minimum of 5 years of experience in the legal field with a strong emphasis on corporate law.

Responsibilities

The Corporate Attorney will be responsible for:

1. Advising on a broad range of corporate legal matters such as acquisitions, corporate finance, accounting, tax, securities, estate planning, and real estate.
2. Drafting, reviewing, and negotiating a wide variety of commercial contracts and agreements.
3. Providing legal advice to the senior management team on strategic initiatives, corporate governance matters, and potential legal risks.
4. Assisting with the development and implementation of corporate policies and procedures to ensure compliance with applicable laws and regulations.
5. Representing the company in legal proceedings, if necessary.
6. Collaborating with external legal counsel on specific legal issues.
7. Keeping up-to-date with changes in corporate law and advising the company on any potential impacts.

Qualifications

The ideal candidate for the Corporate Attorney position should have:

1. A Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 4 years of experience as a corporate attorney, preferably within a corporate legal department or a reputable law firm.
4. Extensive knowledge and experience in acquisitions, corporate finance, accounting, tax, securities, estate planning, and real estate.
5. Excellent negotiation skills with a track record of successfully closing deals.
6. Strong analytical and problem-solving skills with the ability to provide practical legal advice.
7. Excellent communication skills, both written and verbal, with the ability to explain complex legal issues in a clear and understandable manner.
8. High level of professionalism and integrity, with the ability to handle confidential information discretely.
