Job Details
You will be an integral part of our dynamic and growing M&A team, handling buy-side and sell-side transactions for private companies, private equity firms, family-owned businesses, and venture-backed entities. Our practice spans the full lifecycle of corporate deals, from letters of intent to closing, and offers exposure to both auction-style and proprietary transactions.

Responsibilities
- Lead or support middle-market M&A transactions, including acquisitions, divestitures, joint ventures, and recapitalizations
- Draft and negotiate definitive agreements: purchase agreements, LOIs, term sheets, and ancillary corporate contracts
- Manage due diligence efforts and coordinate with cross-functional teams on tax, IP, employment, regulatory, and real estate issues
- Advise clients on deal structure, strategic planning, and market trends
- Engage directly with a wide array of parties, including:
– Operating companies
– Private equity firms
– Equityholders and founders
– Management buy-out teams
– Venture capital firms
– Lenders and boards of directors
Areas of Advisory May Include:
- Financing and capital structuring
- Tax (federal, state, and local)
- Securities compliance
- Intellectual property and licensing
- Employment and employee benefits
- Environmental and real estate issues
- Representations & Warranties (R&W) Insurance
- Employee Stock Ownership Plans (ESOPs)
Looking For:
- Juris Doctor (JD) and licensed to practice in Virginia
- 3+ years of experience in M&A or corporate transactions
- Experience drafting and negotiating key deal documents and managing due diligence
- Familiarity with private equity transactions a plus
- Strong analytical skills, business judgment, and a collaborative, client-focused mindset
