A bit about us:

Our organization is seeking a dynamic and highly experienced Attorney with a strong background in Corporate and Business law- specifically leaders Mergers & Acquisitions. The ideal candidate will be responsible for providing legal advice and services to our corporation to ensure maximum protection of our legal rights. This position will involve a significant amount of work on complex mergers, stock sales, asset sales, and joint venture transactions.

Responsibilities:

1. Draft, review, and negotiate complex legal documents, agreements, and contracts (including mergers, stock sales, asset sales, and joint venture agreements).
2. Provide expert legal support and advice to the executive management team on all matters affecting the company.
3. Ensure compliance with the internal policies and procedures of the company and with all relevant regulatory and statutory requirements.
4. Manage and mitigate legal risks by designing and implementing company policies and procedures.
5. Liaise with and manage external counsel as required.
6. Participate in the formulation of general management policy as a member of the executive management team.
7. Keep abreast of relevant legal developments and changes in law and advise management accordingly.
8. Represent the company in legal proceedings (administrative boards, court trials etc.), if necessary.

Job Details

Qualifications:

1. Juris Doctorate degree from an accredited law school.
2. A minimum of 5 years of experience as a corporate attorney, preferably within a corporate setting or law firm.
3. Extensive experience with complex mergers, stock sales, asset sales, and joint venture transactions.
4. Admitted to the state bar and in good standing.
5. Excellent negotiation and communication skills.
6. Strong analytical ability and legal drafting skills.
7. Ability to work independently and manage multiple projects and deadlines simultaneously.
8. High degree of professional ethics and integrity.
9. Sound judgement and ability to analyze situations and information.
10. Proficient understanding of business sensitivities and confidentiality.
