The successful candidate will be responsible for a broad range of corporate legal functions, including mergers, acquisitions, divestitures, debt and equity offerings, restructurings, entity formation, and other corporate matters. This role requires a strong work ethic, exceptional attention to detail, and the ability to work autonomously while also leading teams and taking on significant responsibility.

Job Details

Responsibilities:

1. Provide legal advice and support on a wide range of corporate legal matters.
2. Draft, review, and negotiate a variety of commercial contracts.
3. Manage all aspects of mergers, acquisitions, divestitures, debt offerings, equity offerings, restructurings, and entity formation.
4. Ensure legal compliance in all corporate activities and transactions.
5. Provide top-tier client service, maintaining strong client relationships and ensuring client satisfaction.
6. Take on significant responsibility and lead teams in complex legal projects.
7. Participate in business development training to help grow the firm’s client base.
8. Conduct thorough legal research and prepare legal documents.
9. Identify and resolve legal issues promptly and effectively.
10. Foster a collegial environment within the firm and contribute to its progressive culture.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. A minimum of 8 years' experience in corporate law, with a focus on mergers, acquisitions, divestitures, debt offerings, equity offerings, restructurings, entity formation, and other corporate matters.
3. Exceptional skills in drafting, reviewing, and negotiating commercial contracts.
4. Proven experience in client interaction and providing exceptional client service.
5. Strong attention to detail and a high level of accuracy in all work.
6. Demonstrated ability to work autonomously and lead teams.
7. Excellent business development skills, with experience in training and development.
8. Proficiency in legal writing, legal research, and preparation of legal documents.
9. A strong work ethic, with the ability to take on significant responsibilities.
10. Experience in providing legal assistance and ensuring legal compliance.
11. A positive and collegial attitude, with a commitment to contributing to the firm’s progressive culture.
