Job Details
This role offers the opportunity to work on a wide range of sophisticated corporate matters, including mergers and acquisitions, general corporate governance, and transactional work for a diverse client base ranging from middle-market companies to large enterprises.
Key Responsibilities:
Advise clients on general corporate matters, including entity formation, governance, and day-to-day legal issues
Draft and negotiate a variety of agreements, including purchase agreements, operating agreements, and shareholder agreements
Assist in structuring and executing mergers, acquisitions, and other complex business transactions
Conduct due diligence and support transactional closings
Counsel clients on risk management and regulatory considerations
Collaborate with attorneys across practice groups to provide comprehensive client solutions
Qualifications:
J.D. from an accredited law school and active Florida Bar admission
3–5 years of corporate transactional experience
Experience with mergers and acquisitions and general corporate counseling
Strong drafting, negotiation, and analytical skills
Ability to manage multiple matters and work in a team-oriented environment
Excellent attention to detail and client service orientation
