Job Details
Qualifications:
J.D. from an accredited law school; active state bar membership
4-8 years of legal experience (law firm and in-house preferred)
Proven experience leading the contract process for SaaS technology-related subscription agreements
Software, technology, or manufacturing sector experience strongly preferred
Private equity-backed company experience a plus
Key Responsibilities:
Lead contract process and negotiate SaaS subscription agreements and technology-related contracts
Draft and negotiate complex commercial agreements (software licensing, distribution, vendor contracts)
Support M&A activities including due diligence, transaction structuring, and integration
Manage IP portfolio matters and technology licensing agreements
Advise on data privacy, cybersecurity, and regulatory compliance (GDPR, CCPA)
Oversee employment law matters and outside litigation counsel
Support corporate governance and entity management
Skills:
Exceptional drafting, analytical, and negotiation abilities
Business-oriented with practical, solutions-focused approach
Ability to manage multiple priorities in a fast-paced environment
Strong interpersonal and communication skills
Self-starter with sound judgment and ability to work independently
