Job Details
Corporate Counsel will support the organization across a broad range of legal, regulatory, and risk matters. This role partners closely with General Counsel and other senior leadership to provide practical, business‑oriented legal advice, with a particular emphasis on contracting and corporate governance, while helping the firm navigate complex and evolving legal issues across predominantly U.S. and some international operations.

- Serve as a trusted legal advisor to senior leadership on corporate, operational, and regulatory matters
- Draft, review, and negotiate a wide range of contracts and agreements, including client engagements, vendor agreements, and strategic arrangements
- Support corporate governance activities, including entity management, board-related matters, and internal governance practices
- Provide legal support across a broad spectrum of issues, including:
- U.S. and international employment and operational matters (local laws, taxes, permits)
- Restructuring
- Fiduciary, expert, and advisory engagement contracting and negotiation
- NDA drafting and negotiation
- Manage litigation, disputes, and claims, including coordination with outside counsel
- Perform legal research and prepare clear, concise written analyses and recommendations for executive audiences
Qualifications:
- Juris Doctor (JD) from an accredited law school
- Active membership in good standing with at least one U.S. state
- 4+ years of relevant legal experience in a law firm and/or an in-house setting
- Demonstrated experience with contract drafting, review, and negotiation
- Demonstrated experience supporting corporate governance activities, including entity management and internal governance matters
- Experience advising on a wide range of legal issues in a professional services or similarly complex organization
- Exposure to restructuring, insolvency, and/or fiduciary matters
- Strong proficiency with Microsoft 365 (Word, Excel, Outlook, Teams, SharePoint) required
- Experience with AI tools (Microsoft Copilot, ChatGPT, Claude, Gemini) and legal technology platforms (CLM, e-billing, matter management)
