Our company is seeking a dynamic and experienced Corporate Counsel to join our legal team in the technology industry. This role offers an exciting opportunity to delve into the fast-paced, innovative world of technology while providing legal support and guidance to our organization. The successful candidate will be responsible for handling a broad range of corporate and transactional legal matters, including prime brokerage agreements, ISDA, CSA, corporate agreements, trading documentation, derivatives, OTC clearing, NDA, swaps, SEC, CDEA, and CFTC.

Responsibilities:

  • Provide comprehensive legal advice and support to the business on a wide range of legal issues including prime brokerage agreements, ISDA, CSA, corporate agreements, trading documentation, derivatives, OTC clearing, NDA, swaps, SEC, CDEA, and CFTC.
  • Draft, review, and negotiate a wide range of complex commercial contracts and agreements to ensure the company's interests are protected.
  • Assist in the development and implementation of corporate policies, procedures, and training programs to ensure compliance with applicable laws and regulations.
  • Participate in the negotiation and closing of corporate transactions, including mergers and acquisitions.
  • Provide legal advice and support on regulatory matters, including SEC and CFTC regulations.
  • Collaborate with various departments to identify legal risks and propose creative and effective solutions.
  • Keep abreast of industry-specific regulations and ensure that appropriate risk management strategies are in place.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • A minimum of 3 years of legal experience, preferably in the technology industry.
  • Strong knowledge of prime brokerage agreements, ISDA, CSA, corporate agreements, trading documentation, derivatives, OTC clearing, NDA, swaps, SEC, CDEA, and CFTC.
  • Membership in good standing in at least one state bar.
  • Strong negotiation skills with the ability to resolve complex legal issues.
  • Excellent communication skills, both written and verbal.
  • Ability to work independently and as part of a team.
  • Proven ability to manage multiple projects simultaneously and meet deadlines.
  • Strong analytical and problem-solving skills.
  • High level of professionalism and confidentiality.
