Our company is seeking a dynamic and experienced Corporate Counsel to join our legal team in the technology industry. This role offers an exciting opportunity to delve into the fast-paced, innovative world of technology while providing legal support and guidance to our organization. The successful candidate will be responsible for handling a broad range of corporate and transactional legal matters, including prime brokerage agreements, ISDA, CSA, corporate agreements, trading documentation, derivatives, OTC clearing, NDA, swaps, SEC, CDEA, and CFTC.
Responsibilities:
- Provide comprehensive legal advice and support to the business on a wide range of legal issues including prime brokerage agreements, ISDA, CSA, corporate agreements, trading documentation, derivatives, OTC clearing, NDA, swaps, SEC, CDEA, and CFTC.
- Draft, review, and negotiate a wide range of complex commercial contracts and agreements to ensure the company's interests are protected.
- Assist in the development and implementation of corporate policies, procedures, and training programs to ensure compliance with applicable laws and regulations.
- Participate in the negotiation and closing of corporate transactions, including mergers and acquisitions.
- Provide legal advice and support on regulatory matters, including SEC and CFTC regulations.
- Collaborate with various departments to identify legal risks and propose creative and effective solutions.
- Keep abreast of industry-specific regulations and ensure that appropriate risk management strategies are in place.
Qualifications:
- Juris Doctor (JD) degree from an accredited law school.
- A minimum of 3 years of legal experience, preferably in the technology industry.
- Strong knowledge of prime brokerage agreements, ISDA, CSA, corporate agreements, trading documentation, derivatives, OTC clearing, NDA, swaps, SEC, CDEA, and CFTC.
- Membership in good standing in at least one state bar.
- Strong negotiation skills with the ability to resolve complex legal issues.
- Excellent communication skills, both written and verbal.
- Ability to work independently and as part of a team.
- Proven ability to manage multiple projects simultaneously and meet deadlines.
- Strong analytical and problem-solving skills.
- High level of professionalism and confidentiality.
