We are seeking a dynamic and motivated Corporate Finance Attorney to join our growing legal team. This is an excellent opportunity to join a vibrant company and make a significant impact while working on intricate legal matters. The successful candidate will be responsible for handling a wide range of corporate finance matters, including mergers & acquisitions, securities law, compliance, capital markets, venture capital, private equity, and corporate governance matters.

Responsibilities

As a Corporate Finance Attorney, you will be expected to:

  • Provide legal advice and support on a wide range of corporate finance matters.
  • Draft, review, and negotiate various commercial agreements and contracts.
  • Handle mergers and acquisitions, including due diligence, negotiation, and documentation.
  • Advise on securities law matters, including compliance with federal and state securities laws.
  • Assist with capital market transactions and provide advice on related regulatory compliance issues.
  • Provide legal support for venture capital and private equity transactions.
  • Advise on corporate governance matters and assist with the development and implementation of corporate policies and procedures.
  • Work closely with other departments within the company to ensure legal compliance across all operations.
  • Stay updated on current laws, regulations, and industry trends that could impact the company.

Qualifications

The ideal candidate will have:

  • A Juris Doctor (J.D.) degree from an accredited law school.
  • 1 to 5 years of experience as an Associate Attorney, with a focus on corporate finance.
  • Barred in MO and KS.
  • Strong knowledge of mergers & acquisitions, securities law, compliance, capital markets, venture capital, private equity, and corporate governance matters.
  • Excellent drafting and negotiation skills.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Strong attention to detail and ability to handle multiple tasks simultaneously.
  • High level of professionalism and confidentiality.
