Corporate Law Partner – Business & Transactions Practice - Washington, D.C. (Hybrid/Remote)
A mid-sized law firm serving government contractors and commercial businesses is seeking a Partner with 10+ years of corporate law experience to join its Business & Transactions practice group. This is a leadership role for a seasoned attorney with a strong background in corporate transactions and deal-making. A portable book of business is preferred but not required.

This is a hybrid role with flexibility to work from our Washington, DC or Annapolis offices. We will also consider qualified candidates located outside the DMV region for a fully remote arrangement.
A mid-sized law firm serving government contractors and commercial businesses is seeking a Partner with 10+ years of corporate law experience to join its Business & Transactions practice group. This is a leadership role for a seasoned attorney with a strong background in corporate transactions and deal-making. A portable book of business is preferred but not required.
Required Qualifications:
- 10+ years of relevant corporate legal experience
- Demonstrated experience in M&A and complex business transactions
- Strong drafting, negotiation, and communication skills
- Detail-oriented with the ability to manage and lead legal teams
- Admitted to practice law in or eligible for prompt admission to the District of Columbia Bar
- Admission to the Maryland and/or Virginia Bar
- Experience working with government contractors
- Licensing, tax, or antitrust experience is a plus
Key Responsibilities:
- Lead and manage complex Mergers & Acquisitions transactions, including oversight of internal and external legal teams
- Draft, review, and negotiate a variety of agreements, including: Purchase and sale agreements, Financing documents, Transactional and governance agreements
- Coordinate and oversee due diligence efforts and transaction closings
- Represent buyers and sellers in a wide range of corporate transactions including: Mergers, Asset and equity purchase/sale transactions, Business restructurings, Financing rounds from private investors, private equity, and venture capital firms, Advise on executive compensation, synthetic equity offerings, and employee incentive plans
- Provide legal counsel on entity formation and structuring, including: LLC agreements, Shareholders and partnership agreements, Commercial lending transactions.
