Corporate Paralegal

Key Responsibilities

General Corporate Support

Form and maintain business entities, including drafting and filing formation documents, preparing minutes, and managing compliance tracking.
Support acquisition and disposition transactions by preparing corporate certificates, assisting with closings, and filing required documentation.
Prepare and file annual compliance documents for various entity types across multiple states.
Maintain closing binders, archives of material agreements, audit letters, D&O questionnaires, and public filings.
Assist with UCC filings (financing statements, terminations, amendments), tax lien searches, and pending suits/judgments.
Coordinate annual reports and tax filings as requested by clients.
Manage foreign qualifications and withdrawals for entities operating in multiple jurisdictions.
Review due diligence materials for corporate transactions.

Securities Support

Register entities and individuals with the SEC, manage CIK numbers and EDGAR access codes.
Prepare and file event-driven securities documents (Forms D, 4, 8-K, 10-K, 10-Q, 13G/D) via EDGAR.
Support annual and periodic reporting, including Section 16 and stock exchange filings.
Assist with securities offerings, including document procurement, closing support, and post-closing file maintenance.

Qualifications

Bachelor’s degree required; Paralegal certificate preferred.
Minimum 5 years of experience as a Corporate Paralegal.
Strong interpersonal and communication skills.
Ability to work effectively under pressure, both independently and in teams.
High attention to detail and ability to manage multiple priorities.
Strong technical proficiency with Microsoft Office Suite, internet research, and databases.
Willingness to work overtime or outside standard business hours as needed.
Notary Public certification preferred but not required.
