Job Details

We are searching for a dynamic and experienced Corporate Paralegal to join our legal team. This is a hybrid role, offering the flexibility of one day a week work from home. The successful candidate will play a pivotal role in a fast-paced environment, providing comprehensive paralegal support to our corporate attorneys.

Responsibilities:

1. Assisting with all aspects of corporate governance, including preparing and filing necessary documents for the formation, maintenance, and dissolution of corporations, partnerships, and limited liability entities.
2. Conducting thorough due diligence in connection with mergers and acquisitions, including review and analysis of corporate records and documents, capitalization, UCC lien searches, and other related tasks.
3. Preparing and managing documents related to mergers, acquisitions, and other corporate transactions, including drafting resolutions, preparing closing documents, and coordinating the closing process.
4. Assisting with the preparation and filing of UCC filings and performing UCC lien searches.
5. Supporting the legal team in the preparation of legal opinions, memoranda, and other legal documents.
6. Maintaining corporate minute books and other corporate records, ensuring all necessary filings are made on a timely basis.
7. Assisting with the management of the company's intellectual property portfolio.
8. Liaising with internal and external parties on corporate legal matters as needed.

Qualifications:

1. A minimum of 2+ years of experience as a Corporate Paralegal, preferably within a law firm or corporate legal department.
2. Extensive knowledge of corporate law, including corporate governance, formations, maintenance, mergers, acquisitions, and due diligence.
3. Familiarity with UCC filings and lien searches.
4. Proficient in the use and navigation of legal databases and research tools.
5. Exceptional organizational skills, with the ability to manage multiple tasks and projects simultaneously.
6. Strong written and verbal communication skills, with the ability to effectively communicate complex legal concepts.
7. A proactive approach to problem-solving, with strong decision-making skills.
8. Ability to work independently as well as collaboratively within a team.
9. A paralegal certificate from an ABA-approved program or equivalent is preferred.
10. Proficiency in Microsoft Office Suite, particularly Word, Excel, and PowerPoint.
