We are currently seeking an experienced Corporate Paralegal to join our dynamic team. The successful candidate will play a crucial role in managing corporate governance activities, conducting due diligence, managing cap tables, and handling securities. Responsibilities:
1. Assist with corporate governance matters, including the preparation and review of Board materials and corporate policies and procedures.
2. Manage cap tables, ensuring accuracy and up-to-date information.
3. Perform due diligence reviews and assist with the preparation of related reports and documentation.
4. Prepare and file various securities filings, including Form D and Section 16 reports.
5. Provide support in the preparation and filing of annual reports, proxy statements, and other SEC filings.
6. Assist with stock administration matters, including stock option grants and exercises, and equity plan compliance.
7. Collaborate with the legal team and other departments to ensure compliance with federal, state, and local legal requirements.
8. Conduct legal research and provide legal and administrative support as needed.
Qualifications:
1. Bachelor's Degree required, Paralegal Certificate preferred.
2. Minimum of 5 years of experience in a corporate paralegal role, preferably in a law firm.
3. Proficiency in CARTA and other cap table management tools preferred.
4. Solid understanding of corporate governance, securities, and cap tables.
5. Experience conducting due diligence.
6. Strong knowledge of federal and state securities laws and regulations.
7. Exceptional organizational skills, attention to detail, and ability to manage multiple projects and deadlines.
8. Excellent written and verbal communication skills.
9. Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook).
10. Ability to work independently, as well as part of a team, and maintain a high level of confidentiality.
