We are currently seeking a highly motivated, detail-oriented Corporate Paralegal to join our dynamic legal team within the Manufacturing industry. This is an excellent opportunity for an individual who thrives in a fast-paced, high-energy environment, and who is passionate about contributing to the success of our corporate legal operations. In this role, you will be responsible for providing comprehensive legal support to our company, including corporate governance, entity formation, UCC, securities, and due diligence.
Responsibilities:
As a Corporate Paralegal, you will:
1. Assist in all areas of corporate governance, including preparing and filing necessary documents for entity formation and maintenance, annual reports, and other state filings.
2. Conduct thorough due diligence in connection with various corporate transactions, including mergers and acquisitions.
3. Manage and maintain the company's corporate records, ensuring all necessary filings are completed accurately and on time.
4. Assist with securities-related filings and documentation, including SEC filings.
5. Prepare and maintain Uniform Commercial Code (UCC) filings and records.
6. Collaborate with various departments, providing legal and administrative support as needed.
7. Assist in the preparation of board resolutions and meeting minutes, and handle logistics for board meetings.
8. Conduct legal research and prepare reports on various legal issues as requested by the legal team.
Qualifications:
The ideal candidate for the Corporate Paralegal position will have the following qualifications:
1. A minimum of 3 years of experience as a corporate paralegal, preferably in the manufacturing industry.
2. A strong understanding of corporate governance, entity formation, UCC, securities, and due diligence.
3. Excellent organizational skills, with a keen eye for detail and the ability to manage multiple tasks simultaneously.
4. Strong written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal personnel.
5. Proficiency in legal research and the ability to quickly and accurately prepare legal documents.
6. A proactive approach to problem-solving, with the ability to anticipate potential issues and implement effective solutions.
7. A bachelor's degree in a related field, or equivalent work experience.
8. Paralegal certification is preferred but not required.
