Job Details:

We are currently seeking a dynamic and experienced Permanent Corporate Paralegal to join our legal team. This is an exceptional opportunity for a professional who has a strong foundation in corporate law and is passionate about contributing to a thriving legal department. The successful candidate will be responsible for supporting the legal team in a variety of corporate matters, including corporate governance, real estate, entity formation, corporate filing, UCC, commercial contracts, and board minutes.

Responsibilities:

• Provide comprehensive paralegal support to the legal team, including drafting, reviewing, and negotiating a wide range of legal documents.
• Assist with corporate governance matters, including the preparation of board and committee materials, charters, and policies.
• Manage all aspects of the entity formation process, including drafting and filing necessary documents.
• Assist with real estate transactions, including conducting title searches and preparing closing documents.
• Handle UCC filings, searches, and related tasks.
• Support the legal team in managing and negotiating commercial contracts.
• Prepare and maintain board minutes and other corporate records.
• Conduct legal research as needed and keep abreast of changes in laws and regulations that may affect the organization.
• Collaborate with cross-functional teams on various corporate projects.
• Ensure compliance with internal policies and procedures, as well as applicable laws and regulations.

Qualifications:

• A minimum of 3 years of experience as a corporate paralegal.
• Bachelor's degree or equivalent; paralegal certification is a plus.
• Strong knowledge of corporate law, particularly in areas such as corporate governance, real estate, entity formation, corporate filing, UCC, commercial contracts, and board minutes.
• Proven experience in drafting, reviewing, and negotiating legal documents.
• Exceptional attention to detail and organizational skills.
• Strong research skills and ability to interpret and communicate legal information.
• Ability to handle multiple tasks simultaneously, prioritize workload effectively, and thrive in a fast-paced environment.
• Excellent interpersonal and communication skills, with the ability to work effectively with team members at all levels of the organization.
• Proficiency in Microsoft Office Suite and legal research platforms.
• High level of professionalism and discretion, with the ability to handle confidential information with tact and integrity.
