Job Details

Responsibilities

Corporate Governance & M&A Support
  • Prepare and coordinate board meeting materials and comprehensive board books
  • Assist with merger and acquisition due diligence processes and document collection
  • Support acquisition documentation and closing materials
  • Handle Form 4 filings and other SEC compliance matters

Contract & Litigation Management
  • Review and summarize vendor agreements and contracts with key term analysis
  • Track contract deadlines, renewals, and compliance requirements
  • Oversee document review and production for litigation matters
  • Coordinate with outside counsel on various legal proceedings
  • Manage legal holds and subpoena response processes

Corporate Maintenance
  • Maintain corporate records and entity management systems
  • Support business licensing and qualifications across multiple jurisdictions
  • Assist with annual corporate filings and regulatory compliance requirements

Requirements

  • Bachelor's degree required, paralegal certificate preferred
  • 5+ years corporate paralegal experience (in-house strongly preferred)
  • Public company board administration experience highly valued
  • Proficiency with corporate software and electronic filing systems
  • Strong analytical, organizational, and communication skills
  • Ability to work independently in fast-paced environment
