As a Corporate Paralegal, your primary responsibilities will include:

1. Assisting with the preparation and filing of all corporate and securities documents for business transactions.
2. Maintaining corporate records, including minutes of meetings, resolutions, and other corporate documents.
3. Assisting with proxy statements, including preparation, review, and distribution.
4. Providing support for corporate governance matters, including board and committee meetings, director and officer questionnaires, and annual meeting materials.
5. Conducting legal research and preparing memoranda on various corporate and securities law topics.
6. Assisting with due diligence in M&A transactions and other corporate matters.
7. Liaising with cross-functional teams and external counsel to ensure compliance with corporate governance and securities regulations.

Job Details

Qualifications:

The ideal candidate for the Corporate Paralegal position will possess the following qualifications:

1. A minimum of 5 years of experience as a corporate paralegal, preferably within the manufacturing industry.
2. Bachelor's degree in Law, Business Administration, or a related field. A Paralegal Certificate from an ABA-approved program is preferred.
3. In-depth knowledge of corporate law, securities, and corporate governance.
4. Experience with assisting proxy and corporate governing.
5. Exceptional research skills with the ability to analyze complex legal documents.
6. Excellent communication skills, both written and verbal, with the ability to interact effectively with all levels of the organization.
7. Strong organizational skills with the ability to manage multiple tasks simultaneously and meet tight deadlines.
8. Proficiency in Microsoft Office Suite and familiarity with legal research tools.
